Course Description:

Phoenix Canyon’s CON 2160 Legal Considerations in Contracting (previously called CON 216) is taught by an instructor with a law degree who can explain not just what the rules say, but why they exist and where they come from.

In a focused half-day, the course covers the legal considerations that run through federal contracting. You'll start with the foundation — the legal and ethical principles that govern government contracts, what makes a contract legally binding, and how government contracts differ from private ones. From there you'll cover the most common constraints on the use of appropriated funds, the ways intellectual property is protected, and the data rights questions that come up in federal acquisitions. The course then works across the legal life of a contract: the three protest forums and how a protest is processed, assignment of claims, the legal issues in contract performance (interpretation, inspection and acceptance, and how requirements get changed), and formal disputes resolution under the Contract Disputes Act — including how an equitable adjustment is calculated. Finally, you'll cover the criminal, civil, and administrative remedies for fraud, the process for terminating a contract for convenience, cause, or default, and how the government recovers money it's owed under the Debt Collection Act.

You'll leave able to recognize the legal issues that run through your contracts, understand the principles beneath them, and know where to look when a question comes up.

This course is taught by Melinda Milheim, JD, who draws on her law degree, MBA studies, and the experience she earned working on more than $7.7 billion in contracts as a Contract Specialist and COR at the U.S. Navy and the Department of Health and Human Services / Indian Health Service.
